By accessing or using the Software, you agree to the terms below.
1. License grant
Exceat Lab grants you a non-exclusive, non-transferable, limited license to access and use the Software for its intended purpose during the term of this Agreement.
2. Scope of use
You may use the Software solely for the purpose it was designed for and in line with this Agreement. You may not sublicense, rent, lease or distribute the Software.
3. Restrictions
- Reverse-engineer, decompile or disassemble the Software.
- Modify or create derivative works based on the Software.
- Use the Software in any way that could damage, disable or impair Exceat Lab’s servers or networks.
- Attempt to gain unauthorised access to the Software or related systems.
4. Subscription and fees
The Software is provided on a subscription basis. You agree to pay all applicable fees. Payment terms, including duration and renewal, are set out at the time of purchase.
5. Support and maintenance
Exceat Lab may provide customer support and maintenance as described in the relevant documentation or service-level agreement, and may update or modify the Software from time to time.
6. Ownership
Exceat Lab retains all rights, title and interest in the Software, including modifications, updates and related intellectual property. This Agreement does not transfer ownership to you.
7. Confidentiality
You agree to keep confidential any proprietary information you access through the Software and to use it only for the purpose it was provided.
8. Data protection
Exceat Lab is committed to safeguarding your data. Data collected through the Software is handled under our Privacy Policy. When the Software processes personal data about your own customers or patients, you are the controller and Exceat Lab acts as your processor. You are responsible for ensuring data you input is lawful and does not infringe third-party rights. See our Privacy Policy.
9. Termination
Exceat Lab may terminate this Agreement if you breach it. On termination you must stop using the Software and delete any copies. You may request an export of your data before termination.
10. Limitation of liability
To the maximum extent permitted by law, Exceat Lab’s liability under this Agreement shall not exceed the total amount you paid for the Software in the 12 months before the claim.
11. Warranties
The Software is provided “as is”. Exceat Lab makes no representations or warranties about its performance or reliability except as expressly stated in this Agreement.
12. Governing law
This Agreement is governed by the laws of Sri Lanka.
13. Modifications
Exceat Lab may modify this Agreement at any time. Changes take effect when posted on the website or notified by other means.
14. License terms
- The Software may not be resold, duplicated, transferred or otherwise distributed without explicit permission from Exceat Lab.
- All rights to the Software are retained by Exceat Lab, registered in Sri Lanka under CPC/HP/DS/3974.
